Terms of Service

These Terms of Service ("Terms") govern your access to and use of Baxii ("Baxii", "we", "us" or "our") and the service available at baxii.ai (the "Service"). By creating an account, connecting an Instagram account, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Baxii is an Instagram customer-intelligence platform that collects comments and direct messages from Instagram professional accounts you connect, analyzes them with AI to categorize intent, sentiment and urgency, surfaces sales leads, builds a product-feedback backlog, and lets you reply to or manage those interactions. Features may change, be added or removed over time.

2. Accounts & eligibility

• You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account.
• You must be at least the age of majority in your jurisdiction and able to form a binding contract.
• You are responsible for your team members' use of shared workspaces and for assigning appropriate roles.
• You must have the authority to connect any Instagram account you add to the Service.

3. Instagram & third-party platforms

The Service integrates with Instagram and Meta platforms and other third parties (such as OpenAI, Stripe and Google). Your use of those integrations is also subject to the applicable third-party terms, including the Instagram Terms of Use and the Meta Platform Terms. You agree not to use the Service in any way that violates those terms. Access to third-party platforms depends on those providers and may change or be interrupted outside our control.

4. Acceptable use

You agree not to:

• Use the Service for spam, harassment, unlawful, deceptive or abusive messaging.
• Access data you are not authorized to access, or connect accounts you do not control or have permission to manage.
• Reverse engineer, scrape, overload, or interfere with the Service or its infrastructure.
• Resell or provide the Service to third parties except through intended team/workspace features.
• Violate any applicable law or the rights of others, including privacy and intellectual-property rights.

We may suspend or limit access to protect the Service, other users, or to comply with platform or legal requirements.

5. Your content & data

As between you and us, you retain all rights to the data you connect and the content you create. You grant us a limited license to process that data solely to operate and provide the Service to you, as described in our Privacy Policy. You are responsible for ensuring you have the rights and permissions necessary for us to process the Instagram data you connect.

7. Subscriptions & billing

• Paid plans are billed on a recurring (monthly) basis through our payment processor, Stripe. By subscribing you authorize recurring charges until you cancel.
• Plans include a monthly allowance of processed items (one item = one unique DM or comment analyzed). Re-analysis of the same item is not charged again.
• If you enable overage, you authorize charges for usage beyond your plan up to the cap you set.
• You can cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable.
• We may change pricing with reasonable notice; changes apply to subsequent billing periods.
• Free trials, if offered, may convert to a paid plan unless cancelled before the trial ends.

8. Intellectual property

The Service, including its software, design and content (excluding your data), is owned by Baxii and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by a third-party platform or law, or to protect the Service. Upon termination, your right to use the Service ends; sections that by their nature should survive (e.g., ownership, disclaimers, limitation of liability) will survive.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data collection from third-party platforms will always be complete or available.

11. Limitation of liability

To the maximum extent permitted by law, Baxii will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Baxii from any claims, damages, liabilities and expenses arising out of your use of the Service, your content or data, or your violation of these Terms or any third-party rights or terms.

13. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. For material changes to these Terms we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-law rules. Disputes will be subject to the courts of that jurisdiction, unless otherwise required by applicable law.
